How we work together.

The short version

• Paid sessions are paid at booking. Today that is an invoice, by card or ACH. Packages bill monthly: card, ACH, or enterprise invoicing.
• I use AI notetakers on my calls, free ones included. I tell you at the start. Ask and I turn it off.
• Reschedule free, up to 4 hours before the session.
• If you don't leave your first paid session with something you can execute, the session costs nothing.
• Packages are month to month. No contracts. Cancel anytime.
• Your business stays confidential. I'll sign your NDA.
• Once you've paid in full, the work I made for you is yours.

Who these terms cover

These terms are between you (or the company you book for) and me, Micah Berkley, Fractional Chief of AI, based in Miami, Florida. They cover every session and package booked through this site, plus your use of micahberkley.com itself.

If we sign a separate written agreement for a bigger engagement, that agreement wins wherever it says something different. Everything it does not cover falls back to this page.

Free calls

The free 20-minute Exploration session and the free 30-minute call cost nothing. No card required. You tell me where AI is stuck in your business. I give you a straight recommendation: a working session, a package, or nothing at all. If I'm not the right person, I'll say so.

Free calls get AI notes too. I say so at the start, and you can ask me to turn it off. Details are under Call recordings.

Payment

• Requesting a time is free. No payment to request a session.
• Paid sessions are paid at booking. Today I send an invoice you can pay by card or ACH.
• Packages bill monthly: card, ACH, or enterprise invoicing.
• No deposits, no surprises. The price you see on /consult is the price you pay.

Once online checkout is on, card payments run through Stripe. I never see or store your full card number.

Rescheduling and canceling

Rescheduling is free, up to 4 hours before the session. Life happens. Use the link in your confirmation email or reply to it.

Packages cancel anytime. They are month to month, so canceling stops the next month's billing. Email [email protected] and it's done.

The Useful-or-Free guarantee

If you don't leave your first paid session with something you can execute, the session costs nothing. No form, no argument. Tell me, and I make it right.

The guarantee covers your first paid session with me. That's the moment you decide if I'm worth it.

Monthly packages

Month to month. No contracts. Every package starts with an Exploration session so neither of us wastes a dollar.

• Each package bills monthly at the rate listed on /consult when you start.
• What each package includes (calls per month, async access, reviews) is exactly what /consult lists for it.
• You can cancel anytime. Canceling stops future billing.

Call recordings

I use AI notetakers on my calls, the free ones included. The tools I use are Fireflies.ai, Google Meet notes by Gemini, and Otter.ai. They record the call and write up the notes.

I say so at the start of every call. Anyone on the call can ask me to turn it off, and I do. If a session will touch something you don't want on tape, tell me before we start.

Paid sessions are recorded and documented, so you walk away with the recording and an action list. How recordings are stored and deleted is on the privacy page.

Confidentiality and NDAs

What you tell me about your business stays between us. Your numbers, your plans, your customers, your code, your team. I don't share it, I don't post it, and I don't use it for anyone else's work.

• I'll sign your NDA. Send it before we start and I'll review and sign it. If your NDA is stricter than this page, your NDA wins.
• No name-dropping. I never name you as a client, publicly or in a case study, without your written okay.
• The exceptions are narrow: things that were already public, things you told me I can share, and anything the law forces me to disclose.

Please don't send me patient health records or other regulated personal data unless we've agreed in writing, ahead of time, how it will be handled.

Who owns the work

• You own your deliverables once you've paid in full. The prompts, automations, agents, documents, and code I build specifically for you are yours.
• I keep what I brought with me. My pre-existing tools, templates, frameworks, methods, and know-how stay mine. Where any of that is built into your deliverables, you get a permanent right to use it inside your business.
• Your data stays yours. Anything you give me to do the work remains your property.
• Third-party tools (AI models, SaaS platforms, APIs) run under their own terms. You hold your own accounts wherever possible, so you're never locked to me.

No guaranteed results

I build every engagement to move a real number. But I can't promise a specific result: a revenue figure, a cost cut, a ranking, a headcount change. Results depend on your market, your team, your data, and whether the plan gets run. What I promise is my best work, straight answers, and the Useful-or-Free guarantee on your first paid session.

AI output needs your review

AI gets things wrong. Confidently. That's why a human stays in the loop.

• Review anything AI produces before you rely on it or send it to a customer.
• You make the final call on what goes live in your business.
• Nothing I say or build is legal, tax, financial, or medical advice. For those, talk to a licensed professional.

Limits of liability

If something goes wrong and it's on me, the most I owe you is what you paid me for the specific session, or the specific month of a package, that the problem came from.

Neither of us is on the hook to the other for indirect losses: lost profits, lost data, or business interruption. This limit does not cover anything the law says can't be limited, like fraud or intentional misconduct.

Florida law

These terms are governed by the laws of the State of Florida. If we ever have a dispute we can't settle by talking, it goes to the state or federal courts in Miami-Dade County, Florida. Talking comes first. It usually works.

Changes and contact

If these terms change, I update this page and the "Last updated" date at the top. Changes don't reach back into a session or month you've already paid for.
